1. Introduction

These Terms govern access to and use of the website, mobile applications, marketplace, seller shops, messaging, Reels, Akedi Live and other features operated by SUUQ ONLINE (U) LTD (together, the “Platform”).

By creating an account, browsing the Platform, posting content, operating a seller shop, sending a message, watching or starting a Live broadcast, or otherwise using Akedi, you agree to these Terms.

2. Nature of the Platform

Akedi mainly operates a digital marketplace connecting buyers with independent sellers and businesses.
Unless clearly indicated otherwise, Akedi is not the seller and does not take ownership of goods listed by marketplace users.
Price, payment, delivery, pickup, warranty, returns and other sale terms are usually agreed directly between the buyer and seller.
Akedi may separately offer paid platform services to sellers, including vendor packages, visibility features, advertising or Live-related services. Those platform services are distinct from the physical goods sold by independent sellers.

3. Definitions

Platform – the Akedi website, mobile applications and related Akedi-operated interfaces.
User – any buyer, seller, account holder or visitor using the Platform.
Buyer – a user who browses, contacts a seller or seeks to purchase an item.
Seller / Vendor – a user or business that publishes listings or operates an Akedi seller shop.
Seller Shop – a public Akedi shop page and related seller tools made available to a vendor.
Reel – short-form marketplace content published through Akedi's video or inspiration features.
Akedi Live – Akedi's live-shopping feature through which eligible sellers may demonstrate products in real time.
Permitted Content – listings and other content that are lawful and comply with Akedi marketplace rules.

4. Accounts and eligibility

You must provide accurate account information and keep it reasonably up to date.
You are responsible for activity carried out through your account and for protecting your login credentials.
You must not impersonate another person or business or create an account for fraudulent purposes.
We may restrict, suspend or terminate accounts that violate these Terms, applicable law or Akedi safety rules.

5. Listings and products

Listing information must be truthful, accurate and not misleading.
You may list only items you have the right to sell or advertise.
Products must be legal in Uganda and permitted under Akedi marketplace rules.
Prohibited items include illegal goods and may include weapons, controlled drugs, alcohol, adult sexual content, stolen goods, counterfeit goods, unsafe or hazardous products, and any other category Akedi identifies as prohibited.
Akedi may review, restrict, hide, reject or remove listings that violate our rules, create safety concerns or receive substantiated complaints.

6. Seller shops, templates and branding

Eligible vendors may receive a public Akedi shop with features such as a public handle or shop URL, logo, banner or hero image, gallery content, seller story or profile information, QR code, typography or appearance options and available shop templates.

Sellers are responsible for the accuracy of information displayed on their shop pages.
A seller must have the right to use any business name, logo, image, trademark or other branding they upload.
Shop templates and presentation options remain part of the Akedi Platform and do not transfer ownership of Akedi software or templates to the seller.
A public shop, verification indicator or package badge does not mean Akedi guarantees every product or transaction offered by that seller.

7. Reels, reviews and other user-generated content

Users may be able to publish Reels, reviews, comments, images, videos, captions and other marketplace content. You remain responsible for content you submit.

Do not publish content that is fraudulent, unlawful, infringing, abusive, harassing or deliberately misleading.
Do not upload material you do not have the right to use.
By submitting content to Akedi, you give Akedi the limited permission necessary to host, process, display and distribute that content through Platform features you choose to use.
Akedi may moderate, restrict or remove content under its safety and marketplace rules.

8. Messaging and user conduct

Use Akedi messaging for genuine marketplace communication.
Do not use chat to harass, threaten, defraud, spam or unlawfully solicit another user.
Users may have access to reporting and blocking tools.
Akedi may review reported conversations where reasonably necessary for safety, support or legal compliance.

9. Akedi Live

Eligible sellers may use Akedi Live to demonstrate products and interact with viewers in real time. Live availability, duration and other seller privileges may depend on the seller's active Akedi package or purchased Live allowance.

The seller is responsible for the products, statements, demonstrations and other content shown during a Live broadcast.
Do not broadcast unlawful, dangerous, abusive, infringing or misleading content.
A Live demonstration does not create an Akedi warranty or guarantee regarding the featured product.
Akedi may end, restrict or remove a Live broadcast or related content where necessary to enforce Platform rules or protect users.

10. Vendor packages, promotions and platform services

Akedi may offer free and paid vendor packages or platform services that affect seller features such as listing capacity, visibility, promotional placement, badges, Reels, shop privileges or Live access.

Package features may differ by plan and may change when a plan expires or is replaced.
Promotional placement improves visibility but does not guarantee views, enquiries or sales.
Where a paid service is available, the applicable price, duration and main features will be shown before purchase.
Any third-party payment processor used for an Akedi platform payment may apply its own processing terms.

11. Deals, payments and delivery between buyers and sellers

Buyers and sellers are responsible for agreeing on price, payment method, meeting place and delivery.
Unless a specific Akedi transaction service is clearly identified, Akedi does not guarantee or insure buyer-to-seller payments, delivery or product condition.
Users should take reasonable precautions before sending money, meeting another user or handing over goods.

12. Returns and disputes

Returns, exchanges and refunds for marketplace goods are primarily handled between buyer and seller. Akedi may provide reporting tools, safety review and guidance, and may act against users who abuse the Platform, but Akedi is not a party to most buyer-to-seller sales contracts.

13. Intellectual property

The Akedi name, logos, Platform software, interface designs, shop templates and other Akedi-branded materials are owned by SUUQ ONLINE (U) LTD or its licensors. Except as permitted by law or expressly allowed by Akedi, users may not copy, reproduce, sell, sublicense or misuse those materials.

14. Limitation of liability

To the extent permitted by law, Akedi is not responsible for losses, defects, fraud, delivery failures or disputes arising from transactions entered directly between independent users.
Sellers remain responsible for the legality, authenticity, safety, description and condition of the goods and content they offer.
Nothing in these Terms excludes liability that cannot lawfully be excluded under applicable Ugandan law.

15. Platform availability

We work to keep Akedi available and reliable, but we do not guarantee that every feature will always be uninterrupted or error-free. Features may be changed, suspended or updated for maintenance, security, legal or product reasons.

16. Governing law and disputes

These Terms are governed by the laws of Uganda. Disputes relating to these Terms or the Platform may be submitted to the competent courts of Uganda, subject to any mandatory rights available under applicable law.

17. Changes to these Terms

We may update these Terms as Akedi changes. The updated version will be published on the Platform with a revised date. Continued use after an updated version takes effect constitutes acceptance to the extent permitted by law.
